In Dec. 2020, Veritas Capital agreed to acquire Northrop Grumman’s federal information technology and mission support services business for approximately $3.4 billion. After the deal is completed in June 2021, Veritas expects to merge the Northrop federal IT business with Peraton.

Following the acquisition of Northrop’s federal IT business, Veritas Capital announced that the company was set to acquire Perspecta with a $7.1 billion all-cash acquisition in Jan. 2021. The transaction is expected to close in the first half of the 2021 fiscal year.
In addition, the company is also looking to combine Perspecta with Peraton under Veritas as well to create a leading government technology combination that delivers end-to-end capabilities in IT and mission support and serves as the strategic partner of choice across a diverse array of federal government customers.
“As a long-time investor in Perspecta and its predecessor companies for over a decade, we have always recognized Perspecta for its market differentiation, leading-edge IP, and focused execution in the government technology space,” said Musallam.
As the GovCon community continues to weigh the importance of Veritas Capital’s acquisition of Perspecta, the company partnered with Evergreen Coast Capital in Feb. 2021 to bid $2.8 billion in another all-cash transaction to acquire Cubic Corporation.
Following some competition, the company’s bid was amended to $75 per share in March 2021. Cubic’s board of directors approved the proposal for the all-cash transaction to be valued at $3 billion. This represents a premium of around 69% to Cubic unaffected closing stock price on Sept. 18, 2020, the last trading day before Cubic disclosed a possible merger.
